SOFTWARE LICENSE AGREEMENT

Single User License

             This is an Agreement between, Exchange Systems Inc, developer of the "MATLAB API 2 IB" ("Software"), and you ("Licensee"), for the purpose of specifying the conditions under which Licensee will use the Software.

Important Notice

As part of the purchase process, you agree to accept the terms of this Agreement. This Agreement is a legal contract which specifies the terms of the license and warranty limitation between you and Exchange Systems Inc for the software and related documentation. You should carefully read the following terms and conditions before installing or using the Software. If you do not agree to these terms, do not attempt to install or use the Software.

Grant of Software License

Exchange Systems Inc. hereby grants you a nonexclusive license to install and use the Software by a single individual.

The License is subject to the following restrictions.  

You shall not, nor permit any party to: (1) use the Software in the operation of an institutional trading system; (2) sell, lease, loan, sublicense, distribute, or otherwise transfer the Software to any person, firm, or entity. Portions of the Software may not be used independently of the Software; (3) reverse engineer, disassemble, decompile, or translate the Software, or otherwise attempt to derive the source code of the Software.

UPGRADES

Since this software depends on the API provided by Interactive Brokers (IB) software, this software may require upgrade, if IB changes its API in a fashion that is not compatible with its current API. As this involves additional development for Exchange Systems Inc., the current licence does not cover the upgrade, and you will have to obtain a different licence for the upgrade.

WARRANTY

Exchange Systems Inc.,provides no warranties for the software. The software and documentation are provided "AS IS".

Exchange Systems Inc., is not liable for defects caused by the software. Because software programs such as this are complex, Exchange Systems Inc., does not warrant that the Software is error-free or will operate without interruption. Further more, Exchange Systems Inc., is not liable for any trading losses incurred in the use of this software. You acknowledge that you are liable for any trading losses or damages incurred in the use of this software
